Corporate Governance

UTI’s Board of Directors and management are strongly committed to implementing sound corporate governance principles and procedures. Providing the framework for our operations, these policies reflect and promote responsible business ethics and corporate citizenship. We are dedicated to excellence and to practices that are in the best interest of all UTI stakeholders — our shareholders, employees, customers, partners and students.

This section provides an overview of our corporate governance policies including copies of UTI’s corporate governance documents and charters of our Board committees. Please refer to our filings with the Securities and Exchange Commission for more detailed information.

Stockholders and other interested parties may communicate with the Chairman of the Board, the Directors as a group, the non-management Directors as a group, or an individual Director directly by submitting a letter in a sealed envelope labeled accordingly. This letter should be placed in a larger envelope and mailed to Universal Technical Institute, Inc., 4225 E. Windrose Drive Suite 200, Phoenix, AZ 85032.

Regards,

Jerome A. Grant
Chief Executive Officer
